PC Jeweller Ltd has approved a proposal to raise up to ₹1,000 crore through a Qualified Institutions Placement (QIP) while also increasing its authorised share capital, as the jewellery retailer looks to strengthen its capital base and support future growth initiatives.
The decisions were taken at the company’s Board meeting held on July 16, 2026, where directors approved multiple proposals, including an increase in authorised share capital, constitution of a QIP Committee, and seeking shareholders’ approval through a postal ballot.
₹1,000 crore fundraise through QIP
The Board approved raising up to ₹1,000 crore through the issuance of equity shares and/or other eligible securities via the Qualified Institutions Placement route in one or more tranches. The fundraising will be carried out in accordance with applicable SEBI regulations and will be subject to shareholder and regulatory approvals.
According to the filing, the proceeds will be raised through equity shares with a face value of ₹1 each and/or other eligible securities at pricing permitted under applicable regulations.

The proposal includes creating an additional 150 crore equity shares of face value ₹1 each, taking the authorised equity share capital from 1,050 crore shares to 1,200 crore shares, while the preference share capital will remain unchanged at 26 crore preference shares of ₹10 each. The proposal will require shareholders’ approval and other statutory clearances before becoming effective.
QIP Committee constituted
To facilitate the proposed capital raise, the company has constituted a Qualified Institutions Placement Committee. The committee has been authorised to appoint intermediaries and advisors, determine the structure, size, pricing and timing of the issue, finalise placement documents, execute agreements and complete all regulatory formalities related to the proposed QIP.
Shareholders’ approval through a postal ballot
PC Jeweller said shareholders’ approval for both the increase in authorised share capital and the proposed QIP will be sought through a postal ballot conducted electronically. The notice will be sent to eligible shareholders whose email addresses are registered as of July 10, 2026, and will also be made available on the company’s website and the websites of the stock exchanges and KFin Technologies.
