New Delhi [India], July 14: Shares of PC Jeweller Ltd are likely to remain in focus after the company announced that its Board of Directors will meet on July 16, 2026, to consider raising fresh capital through a Qualified Institutions Placement (QIP) as part of its long-term business expansion strategy.

In a regulatory filing with the stock exchanges, the jewellery retailer said the board will review and approve a comprehensive business growth strategy for the coming quarters and consider issuing securities through a QIP, subject to shareholders’ approval and other regulatory clearances.

According to the company, the proposed fund raise is aimed at supporting strategic growth initiatives, business expansion, capital requirements and other general corporate purposes, thereby strengthening its long-term growth trajectory.

Company to Become Debt-Free This Quarter

In a significant development, PC Jeweller said it expects to repay all its remaining debt obligations during the current quarter. The repayment will be funded through proceeds from the earlier preferential issue of fully convertible warrants to the promoter, along with internal accruals.

The company added that once its debt is fully repaid, the proceeds from the proposed QIP would be primarily utilized for growth initiatives instead of debt servicing, allowing it to focus on expansion and long-term value creation.

Board to Appoint Advisors for QIP

The board will also consider appointing intermediaries, advisors and other agencies required for executing the proposed QIP. Additionally, it will seek shareholders’ approval through the appropriate regulatory process, in accordance with applicable laws and SEBI regulations.

Trading Window Remains Closed

PC Jeweller further informed that the trading window for dealing in the company’s shares will continue to remain closed until 48 hours after the declaration of its unaudited financial results for the quarter ended June 30, 2026, in line with the company’s insider trading policy.

The proposed QIP comes at a time when the company is working towards strengthening its balance sheet and accelerating business expansion after significantly reducing its debt burden. Investors will closely watch the outcome of the July 16 board meeting for further details on the size and structure of the proposed fund raise.
